Soap Production in Greece – Η Ελληνική Σαπωνοποιϊα

Το Σαπούνι από ελαιόλαδο χρησιμοποιείται εδώ και αιώνες στη Μεσόγειο, τόσο για την προσωπική υγιεινή όσο και ως γενικής χρήσης καθαριστικό. Το αγνό σαπούνι ελαιολάδου θεωρείται το καλύτερο καθαριστικό για το δέρμα, καθώς ξεβουλώνει τους πόρους του δέρματος απομακρύνοντας αποτελεσματικά τη σκόνη, λιπαρά κατάλοιπα και νεκρά κύτταρα. Φτιάχνεται από φυσικές πρώτες ύλες και το τελικό προϊόν δεν περιέχει καθόλου πρόσθετα.

Ο Απόστολος Πατούνης απογονος του ιδρυτη της ομωνυμης μοναδας παραγωγης σαπουνιου (βλεπε παρακατω) μας εξηγεί:

«Το σαπούνι γίνεται ψητό: το λάδι, μαζί με καυστική σόδα και διαλύματα αλατιού, βράζει σε μεγάλα καζάνια για μια βδομάδα. Στη συνέχεια όλο αυτό το υγρό μείγμα μπαίνει για άλλες δυο- τρεις μέρες σε καλούπια, όπου και στερεοποιείται. Εκεί, επιτόπου, το κόβουμε σε τεμάχια και με σφυρί σφραγίζουμε πάνω στο καθένα τη φίρμα μας. Χρησιμοποιώ ακόμα τις σφραγίδες του παππού μου. Αυτά μπαίνουν κατόπιν σε ξύλινα τελάρα, τα ξηραντήρια, για τρεις με τέσσερις μήνες, ώσπου να ξεραθούν τελείως και να είναι πια έτοιμα σαπούνια».

  • Πράσινο σαπούνι”, από ακατέργαστο πυρηνέλαιο ελιάς. Το πυρηνέλαιο φτιάχνεται από σπασμένες ολόκληρες ελιές (σάρκα και κουκούτσι και περιέχει χλωροφύλλη η οποία δίνει το πράσινο χρώμα στο φρέσκο σαπούνι. Το χρώμα αυτό ξεθωριάζει σιγά σιγά καθώς το σαπούνι στεγνώνει και ωριμάζει. Το πράσινο σαπούνι χρησιμοποιείται κυρίως για δουλειές του σπιτιού και ειδικά για το πλύσιμο των ρούχων. Είναι επίσης αντισηπτικό και ευεργετικό για περιπτώσεις δερματικών παθήσεων, αλλεργειών, ελκών και μυικών προβλημάτων.
  • “Άσπρο σαπούνι” ελιαιολάδου που φτιάχνεται από αγνό, παρθένο ελαιόλαδο τύπου “Λαμπάντε”. Χρησιμοποιείται για την προσωπική υγιεινή, σώμα, χέρια, πρόσωπο.
  • “Άσπρο σαπούνι τύπου Μασσαλίας” στο οποίο πρστίθεται εκτός από το ελαιόλαδο και φοινικέλαιο το οποίο το κάνει να αφρίζει καλύτερα

To Σαπωνοποιείο ”Πατούνη” στην Ζακυνθο και την Κερκυρα

Στον αστικό ιστό της Κέρκυρας, στην καρδιά της παλιάς βιομηχανικής πόλης, διατηρείται ένα αυθεντικό κομμάτι του βιοτεχνικού παρελθόντος. Το ιστορικό Σαπωνοποιείο Πατούνη, που γνώρισε μεγάλη ακμή, λειτουργεί ακόμη και σήμερα σε ένα οίκημα που χτίστηκε το 1891 για να λειτουργήσει αρχικά, ως υποκατάστημα του οίκου Μπαζάκη – Πατούνη, που ιδρύθηκε στη Ζάκυνθο το 1850.

Το έναυσμα για την ίδρυση του «Μέγα Εργοστασίου Σάπωνος Μπαζάκη και Πατούνη», δόθηκε στα ξαδέλφια Απόστολο Πατούνη και Σπύρο Μπαζάκη από μία εμπορική συνεργασία με Γάλλους, τους οποίους οι δαιμόνιοι επιχειρηματίες από τους Καλαρρύτες της Ηπείρου, προμήθευαν με κάπες από μαλλί αιγοπροβάτων, προορισμός των οποίων ήταν ο στρατός του Ναπολέοντα του Γ’.
«Κατέβαζαν τις κάπες στη Ζάκυνθο και τις φόρτωναν για τη Μασσαλία, ωστόσο αντί για χρήματα, έπαιρναν σαπούνι Μασσαλίας, το οποίο εμπορευόντουσαν στα Επτάνησα. Κάποια στιγμή, ο καπετάνιος που έκανε το εμπόριο, ο οποίος κυκλοφορούσε στα σαπωνοποιεία της Μασσαλίας και μάθαινε τη διαδικασία της παραγωγής, τους εξηγεί πώς φτιάχνεται το σαπούνι και τα δύο ξαδέλφια αρχίζουν να σκέφτονται τη δημιουργία ενός σαπωνοποιείου. Έτσι το 1850, ξεκινούν τη δική τους παραγωγή «σάπωνος πρασίνου εξαιρετικού ανόθευτου», μας διηγείται ο Απόστολος Πατούνης, πέμπτη γενιά σαπωνοποιός.

Η σαπωνοποιία  Πατούνη είναι μία οικογενειακή επιχείρηση 5 γενεών. Έχει τις ρίζες της, στην πρώτη Ελληνική Σαπωνοποιία που ιδρύθηκε στη Ζάκυνθο το 1850. Το 1891 η δραστηριότητα της οικογένειας επεκτείνεται στην Κέρκυρα, κτίζοντας το εν λόγω σαπωνοποιείο στην Ιωάννου Θεοτόκη. Σήμερα, η σαπωνοποιία αποτελεί μία μικρή, υγιέστατη επιχείρηση με προσωπικό 2 άτομα, πλήρους απασχόλησης. Παράγει σαπούνι σύμφωνα με την κερκυραϊκή παράδοση, χρησιμοποιώντας αποκλειστικά κερκυραϊκό ελαιόλαδο ως πρώτη ύλη. Τα τελευταία δώδεκα χρόνια, το μεγαλύτερο μέρος της παραγωγής διοχετεύεται στο εξωτερικό, με κυρίαρχη αγορά αυτή της Ιαπωνίας.
Επιπλέον,  ο χώρος αποτελεί ένα αυθεντικό, εν λειτουργία μνημείο προβιομηχανικής  αρχαιολογίας, μοναδικό στο είδος του, με υψηλή προσέλευση επισκεπτών και εκπαιδευτικών εκδρομών, (ενδεικτικά για το 2009,υπολογίζονται ότι επισκέφτηκαν το σαπωνοποιείο 2500 τουρίστες περίπου και 14 καταγεγραμμένες εκπαιδευτικές ομάδες).

Soap Production “Patounis”
Χαρακτηρίζουμε  ως μνημείο σύμφωνα  με τις διατάξεις  του άρθρου 6 παρ.1β  του ν.3028/2002, το  κτίριο της ‘Σαπωνοποιίας  Πατούνη’, με τον  εξοπλισμό του  IN SITU,…, διότι:
  1. Η ‘Σαπωνοποιία Πατούνη’ αποτελεί σημαντική μαρτυρία της βιομηχανικής άνθισης στην Κέρκυρα του 19ου αιώνα, που εξακολουθεί να λειτουργεί χρησιμοποιώντας μέρος του αρχικού εξοπλισμού με τις ίδιες παραδοσιακές τεχνικές παραγωγής και για το λόγο αυτό είναι σπάνια σε ολόκληρη την ελληνική επικράτεια και ιδιαίτερα σημαντική για τη διατήρηση της μνήμης της παράγωγής και επεξεργασίας των προϊόντων της ελιάς που σταδιακά εκλείπει.
  2. Το κτίριο, πέραν της ιστορικότητας που αφορά την χρήση, διαθέτει και αξιόλογα μορφολογικά και αρχιτεκτονικά στοιχεία, καθώς και στοιχεία της εποχής που τεκμηριώνουν την αρχιτεκτονική τυπολογία των κτισμάτων του τέλους του 19ουαιώνα τα οποία στο ισόγειο είχαν επαγγελματική χρήση και στον όροφο κατοικία.»

Η Βιομηχανια ΑΒΕΑ Χανιων

Η ιστορία της ΑΒΕΑ ξεκίνησε το 1889. Τότε, ο γάλλος χημικός Ιούλιος Δέης (Jules Deiss), μετά από ευρεσιτεχνία του στο Ίδρυμα Παστέρ του Παρισίου, ίδρυσε την εταιρεία και το εργοστάσιο στην περιοχή της Νέας Χώρας έξω από τα τείχη της πόλης και δίπλα στο Εβραϊκό νεκροταφείο. Ο ίδιος είχε δημιουργήσει εργοστάσιο με ίδιους σκοπούς στην Τυνησία. Το εργοστάσιο σε πρώτο στάδιο παρήγαγε πυρηνέλαιο και επεξεργαζότανε τον ελαιοπυρήνα. Το πυρηνέλαιο μάλιστα εξαγόταν στη Γαλλία, με σκοπό την παραγωγή σαπουνιού τύπου Μασσαλίας.Τα Χανιά αποτελούσαν ένα πρόσφορο έδαφος για την ανάπτυξη τέτοιου είδους βιομηχανιών. Ήδη λειτουργούσαν αρκετές βιοτεχνίες παραγωγής ντόπιου σαπουνιού και η πλούσια ελαιοπαραγωγή της Κρήτης μαζί με μια σχετική σταθερότητα που προσέφερε η Σύμβαση της Χαλέπας στην Ημιαυτόνομη Κρητική Πολιτεία, δημιούργησε ένα κλίμα για ανάπτυξη νέων πρωτοβουλιών. Τα Χανιά, αποκτούν κοσμοπολίτικο χαρακτήρα υπό την παρουσία των στόλων των «Προστάτιδων Δυνάμεων». Αποτέλεσαν πόλο έλξης για δεκάδες υπήκοους ευρωπαϊκών κρατών οι οποίοι και δημιουργούν την παροικία τους ασχολούμενοι κυρίως με το εμπόριο και τη βιομηχανία.Αλλαγή στο ιδιοκτησιακό καθεστώς είχαμε το 1894 αφού αγοράζεται από την εταιρία Sahel Tunisien. Τότε, για την εξυπηρέτηση των λειτουργιών του μιας και αποτελούσε τη μεγαλύτερη βιομηχανία της πόλης, γίνεται το πρώτο ρήγμα στα τείχη στην περιοχή της πύλης του San Salvatore το έτος 1899. Η άδεια οικοδόμησης δόθηκε από το «Γενικόν Διοικητικόν Συμβούλιον Κρήτης»
ΑΒΕΑ

To 1917 η εταιρεια περασε στα χερια των επιχειρηματιών Π. Μαρκαντωνάκη, Κ. Ναξάκη, Κ. Μανουσάκη και Γ. Κασιμάτη. Η επωνυμία της εταιρείας καταχωρήθηκε σ’ αυτήν που έμελλε να μείνει γνωστή ως Ανώνυμος Βιομηχανική Εταιρία «ΑΝΑΤΟΛΗ», δηλαδή ΑΒΕΑ. Το καταστατικό υπογράφεται από την προσωρινή κυβέρνηση Βενιζέλου στη Θεσσαλονίκη στις 16 Ιανουαρίου 1917 και οι δραστηριότητές της επεκτείνονται στην εμπορία και επεξεργασία ελαιολάδων και στην παραγωγή σαπουνιών.

Το 1935 το εργοστάσιο ανακατασκευάζεται και λειτουργεί με επιτυχία μέχρι τον πόλεμο. Οι αλλεπάλληλοι βομβαρδισμοί κατέστρεψαν μεγάλο κομμάτι των υποδομών του. Οι ζημιές αποκαταστάθηκαν μεταπολεμικά και η λειτουργία του συνέχισε. Νέα αλλαγή καθεστώτος ιδιοκτησίας το 1951 αφού μετατρέπεται σε συνεταιριστική – μέχρι σήμερα – και εκπροσωπείται από τους παραγωγούς του Νομού Χανίων.

Το εργοστάσιο εγκαταλείφθηκε σταδιακά. Πρώτα η μετεγκατάσταση του πυρηνελαιουργείου της ΑΒΕΑ το 1994 στο Δήμο Κεραμειών. Και το 2004 με τη μετεγκατάσταση του τυποποιητηρίου λαδιών, του τμήματος παραλαβής ελαιολάδου, των γραφείων διοίκησης στο Δήμο Ελευθερίου Βενιζέλου και τη μετεγκατάσταση του σαπωνοποιείου και της ραφιναρίας λαδιών στο Δήμου Κεραμειών.

ΑΒΕΑ

Μια φωτια στις 29 Απριλιου 2011 καταστρεφει ολοσχερως το εγκαταλελειμενο εργοστασιο στη Νεα Χωρα Χανιων, και μαζι με αυτο και ενα κεφαλαιο βιομηχανικης ιστοριας και κληρονομιας της Κρητης και της Ελλαδας.

ΕΑΣ Λεσβου

Με τις κατάλληλες προσαρμογές στις σύγχρονες συνθήκες παραγωγής, το εργοστάσιο είναι από τα λίγα πια στην Ελλάδα που παράγουν σαπούνι αποκλειστικά από ελαιόλαδο.

Όπως εξηγεί ο εκπρόσωπος της Ένωσης Αγροτικών Συνεταιρισμών Λέσβου Νίκος Μάτας, “πολλοί λανθασμένα πιστεύουν ότι το αγνό σαπούνι ελαιόλαδου είναι γυαλιστερό, έχει πράσινο, διαυγές χρώμα. Η αλήθεια είναι ότι το αγνό παρθένο σαπούνι ελαιόλαδου έχει χρώμα λαδί, θολό. Η γυαλάδα αποκτιέται από το σαπούνι με τη χρήση ζωικών λιπαρών ουσιών, όπως είναι το λίπος του γουρουνιού. Οι καταναλωτικές συνήθειες των Ελλήνων μάς υποχρεώνουν να χρωματίζουμε, με φυτικές ουσίες βέβαια, και εμείς το σαπούνι. Στο εξωτερικό και ιδιαίτερα στην Ιαπωνία, όπου η ΕΑΣ Λέσβου κάνει μεγάλες εξαγωγές, οι καταναλωτές είναι πιο ενημερωμένοι και μας το ζητούν με το φυσικό του χρώμα. Είναι σαφές ότι το προϊόν αυτό, που προέρχεται από τον καρπό της ελιάς με όλες τις φαρμακευτικές του ιδιότητες, περιποιείται και φροντίζει περισσότερο το δέρμα από τα υπόλοιπα συνθετικά σαπούνια”.

Βέβαια, τα τελευταία χρόνια όλο και περισσότερα σαπούνια διαφημίζονται ως σαπούνια από ελαιόλαδο. “Αυτό συμβαίνει γιατί πληθαίνουν οι καταναλωτές που ζητούν φυσικά προϊόντα χωρίς χημικά πρόσθετα. Ωστόσο, η νομοθεσία που διέπει την παραγωγή και την εμπορία του σαπουνιού επιτρέπει την προβολή με τον παραπάνω τρόπο, ακόμη και αν το τελικό προϊόν περιέχει μόνο ένα μικρό μέρος λιπαρών ελαιόλαδου – τα περισσότερα περιέχουν μόλις 20%”, λέει ο κ. Μάτας.

Η Λέσβος είναι μία από τις σημαντικές ελαιοπαραγωγικές περιοχές της Ελλάδας, καθώς στο νησί καλλιεργούνται περίπου 11 εκατ. ελαιόδεντρα και η μέση ετήσια παραγωγή ελαιόλαδου φτάνει τους 20.000 τόνους(10% της εθνικής παραγωγής).

Ο κ. Μάτας υπογραμμίζει πως το σαπωνοποιείο της ένωσης αποτελεί και έναν παραγωγικό τρόπο ανακύκλωσης των λαδιών και των ραφινελαίων που δεν μπορούν να διατεθούν στην κατανάλωση, καθώς στη Λέσβο δεν υπάρχει χωματερή που να μπορεί να δεχθεί τους 400-500 τόνους καταλοίπων που δημιουργούνται κάθε χρόνο.

Μέχρι πριν από λίγο καιρό ο κλάδος της σαπωνοποιίας στη Λέσβο, που κάποτε αποτελούσε σημαντική πηγή πλούτου για το νησί, είχε χάσει τη λάμψη του. Με την καταγραφόμενη στροφή των καταναλωτών στα βιολογικά προϊόντα, η Ένωση Αγροτικών Συνεταιρισμών Λέσβου θέλει να αναδείξει το συγκριτικό πλεονέκτημα του σαπουνιού της, που θεωρείται η ανερχόμενη εμπορική δύναμη του νησιού.

Ένα από τα παλαιότερα βιομηχανικά κτήρια είναι το σαπωνοποιείο της ΕΑΣ Λέσβου, που βρίσκεται μέσα στο βιομηχανικό συγκρότημα της Σκάλας Παμφίλων. Στην ιδιοκτησία της Ένωσης Συνεταιρισμών πέρασε στα 1929, όμως ο ακριβής χρόνος κατασκευής του δεν είναι γνωστός. Εκτιμάται όμως πως είχε κατασκευασθεί πριν από το παρακείμενο πυρηνελαιουργείο της Ένωσης που κατασκευάστηκε στα 1870. Οι χοντροί του τοίχοι, τα μεγάλα παράθυρα του, οι μεγάλες δεξαμενές σαπωνοποίησης που διαθέτει δεν θυμίζουν με τίποτα τους μουσειακούς χώρους άλλων συνομήλικων του βιομηχανικών κτηρίων της Λέσβου, αφού αυτό συνεχίζει να είναι σε λειτουργία και για την εξυπηρέτηση σύγχρονων διαδικασιών παραγωγής έχουν γίνει πάρα πολλές προσθήκες και προσαρμογές. Παρʼ όλα αυτά ο χαμηλός φωτισμός στους χώρους του ισογείου, το άδειο ξηραντήριο στο δεύτερο όροφο, οι παμπάλαιες δεξαμενές σαπωνοποίησης δίνουν την εικόνα ενός εργοστασίου που έχει μείνει δύο αιώνες πίσω. Μια εικόνα που -παραφράζοντας τον τίτλο του γνωστού μυθιστορήματος- δείχνει «πώς δενότανε ?το σαπούνι».

Ακόμη και οι πρόσχαροι εργαζόμενοι του σαπωνοποιείου δείχνουν να έχουν βγει από την εποχή της πρώτης βιομηχανικής ανάπτυξης της Λέσβου. Η μηχανή ξήρανσης ζεστού και κρύου αέρα, η μηχανή συρρίκνωσης και η μηχανή ξήρανσης της σαπωνόμαζας αν και έχουν κάποια ηλικία δείχνουν σαν να έχουν κάνει μια βουτιά στο παρελθόν, αφού το κτήριο είναι τουλάχιστον ένα αιώνα μεγαλύτερο από αυτά.
Ο χημικός της ΕΑΣ Λέσβου Μιχάλης Πεντογένης μας εξηγεί ότι το σαπωνοποιείο της ΕΑΣ Λέσβου είναι ένα από τα λίγα της χώρας που παράγουν σαπούνι αποκλειστικά από ελαιόλαδο και υλοποιούν όλα τα στάδια της παραγωγής. Με έκπληξη ακούσαμε τον κ. Πεντογένη να μας εξηγεί πως πολλά σαπούνια που αναφέρουν στην ετικέτα τους ότι παράγονται από ελαιόλαδο έχουν ένα μικρό ποσοστό ελαιολάδου (20%) και τα υπόλοιπα λιπαρά είναι ζωικά ώστε το τελικό προϊόν να είναι πιο λαμπερό.
Χημικά πρόσθετα χρησιμοποιούνται και για να αποκτήσει χρώμα η άρωμα το σαπούνι. Αναφορά «σαπούνι από ελαιόλαδο» στις ετικέτες των σαπουνιών γίνεται τα τελευταία χρόνια γιατί οι καταναλωτές όλο και περισσότερο ζητούν φυσικά προϊόντα χωρίς χημικά πρόσθετα. Ωστόσο η νομοθεσία που διέπει την παραγωγή και εμπορία του σαπουνιού μέχρι σήμερα δεν έχει λάβει υπόψη τις νεότερες εξελίξεις στην παραγωγή και στις καταναλωτικές συνήθειες, έτσι ο όρος «σαπούνι από ελαιόλαδο» μπορεί να χρησιμοποιηθεί ακόμη κι αν το τελικό προϊόν περιέχει μόνο ένα μικρό μέρος λιπαρών ελαιολάδου.
Τα τελευταία χρόνια αναπτύσσεται ραγδαία η ζήτηση του σαπουνιού από ελαιόλαδο ως αποτέλεσμα της επιστροφής των καταναλωτών σε φυσικά προϊόντα. Η τάση αυτή είναι δικαιολογημένη κατά τον κ. Πεντογένη αφού το ελαιόλαδο είναι η καλύτερη λιπαρή ουσία για το ανθρώπινο δέρμα. Δεν είναι τυχαίο ότι το 2006 οι πωλήσεις σαπουνιού της ΕΑΣ Λέσβου έφθασαν στους 170 τόνους. Μεγάλο μέρος της παραγωγής αυτή εξάγεται στο εξωτερικό.
Εκτός από το τελικό προϊόν, δηλαδή τις μικρές πλάκες σαπουνιού που παράγει και εμπορεύεται η ΕΑΣ Λέσβου, παράγει και πουλάει σε σαπωνοποιεία μεγάλες ποσότητες σαπωνόμαζας (δηλαδή σαπούνι που δεν έχει μορφοποιηθεί) και το οποίο χρησιμοποιείται για την παραγωγή σαπουνιών με την προσθήκη ζωικών λιπαρών.
Το πρώτο στάδιο της παραγωγής περιλαμβάνει την σαπωνοποίηση του ελαιολάδου μέσα σε μεγάλες δεξαμενές με την χρήση καυστικού νατρίου. Το «ψήσιμο» του σαπουνιού διαρκεί τρία ή τέσσερα οκτάωρα. Στο διάστημα αυτό γίνεται σταδιακή προσθήκη καυστικού νατρίου μέχρι ο ψήστης, δηλαδή ο εργάτης που παρακολουθεί την διαδικασία σαπωνοποίησης, να διαπιστώσει ότι το ελαιόλαδο που βρίσκεται μέσα στην δεξαμενή έχει κορεστεί.
Στο επόμενο στάδιο γίνονται τέσσερις με πέντε εκπλύσεις της σαπωνόμαζας προκειμένου να αφαιρεθεί η πλεονάζουσα ποσότητα καυστικού νατρίου (η περίσσια όπως την λένε οι σαπωνοποιοί) που υπάρχει και το νερό. Η κάθε μια έκπλυση κρατάει περίπου ένα οκτάωρο. Στο τελευταίο στάδιο της έκπλυσης γίνεται ο διαχωρισμός του σαπουνιού από το αλάτι, η εξαλάτωση. Αυτό το στάδιο ολοκληρώνεται όταν στο κάτω μέρος της δεξαμενής μείνει το αλατόνερο και στο πάνω μέρος η ρευστή σαπωνόμαζα.
Στο παρελθόν η ρευστή σαπωνόμαζα τοποθετούνταν σε καλούπια, εκεί γίνονταν η ξήρανση της και η κοπή της με μεγάλα μαχαίρια. Η ξήρανση των σαπουνιών γίνονταν με την χρήση του ηλιακού φωτός. Αυτό επέβαλε τα σαπωνοποιεία να διαθέτουν μεγάλες αίθουσες με πολλά παράθυρα. Σε αυτές γίνονταν η ξήρανση και η κοπή.
Στις μέρες μας η ρευστή σαπωνόμαζα με μια αντλία οδηγείται στο μηχάνημα ξήρανσης. Αυτό το μηχάνημα βγάζει ξερό σαπούνι που έχει την μορφή μακαρονιού. Στη συνέχεια η σαπωνόμαζα περνάει νέα μηχανική κατεργασία στο τέλος της οποίας παίρνει την μορφή μπαστουνιού. Τα μπαστούνια του σαπουνιού οδηγούνται στο κοπτικό μηχάνημα όπου κόβονται, αυτό είναι το πρώτο στάδιο της τελικής μορφής που ο καταναλωτής θα πάρει στο χέρι του. Μετά την κοπή του σαπουνιού γίνεται η ξήρανση της επιφάνειας του με την χρήση ζεστού και κρύου αέρα. Μετά το σαπούνι σφραγίζεται και περαιτέρω ξήρανση. 2. Αξιοποιηση της γης

Ολα τα κατασχεθεντα εκ του Καταρ ακινητα θα ανταλλασοονται κατα την προτιμηση του Καταρ με οικοπεδα και ακινητα υπο τον ελεγχον του Ελληνικου Δημοσιου. Ηγουν οτι, ενα δυαρι στον Κορυδαλλο θα ανταλλασσεται με ενα δυαρι που εχει στην ιδιοκτησια του το Ελληνικο Δημοσιο στην Πλατεια Μαβιλη, ή ενα οικοπεδο, ή μια δασικη εκταση στην Χαλκιδικη. Με την ανταλλαγην, το Ελληνικον Δημοσιον θα γινεται ιδιοκτητης του δυαριου στον Κορυδαλλο, και το Καταρ θα εχει την ιδιοκτησια και δικαιωμα οιασδηποτε χρησης του οικοπεδου στην Χαλκιδικη. HP in turmoil

In September 2011 the American technology giant Hewlett-Packard (HP) acquired British software firm Autonomy for USD 11.1 billion.

HP’s news release in October 2011 stated:

“The acquisition positions HP as a leader in the large and growing enterprise information management space. Autonomy’s software offerings power more than 25,000 customer accounts worldwide and, as part of HP, will provide high-value business solutions to help customers manage the explosion of unstructured and structured information. Autonomy offers solutions that are complementary across HP’s enterprise offerings and strengthens the company’s data analytics, cloud, industry and workflow management capabilities.”

The price of over USD 11 billion was in excess of 10 times the annual sales revenue of Autonomy.

Back in August 2011, HP had announced a set of other bold moves: to sell its PC and tablets business and re-evaluate other assets. Simply put, it sounded like HP (or Leo Apotheker) wanted to move out of the hardware business and enter the software business. The markets reacted badly. In two days the prices of HP’s shares dropped by more than a quarter (25%).

The “new” strategic direction of the firm was also in stark contrast with Palm’s USD 1.2 million acquisition in 2010. All the relevant projects had to be cancelled. It is worth noting that only a few months ago, Palm’s acquisition was hailed as HP’s competitive answer to Apple!

Leo Apotheker did not survive all of this. In late September 2011, before even the Autonomy deal was sealed and signed, he was replaced by Megal Whitman. This means that Apotheker did not stay a full year at the help. He was appointed in late 2010 to replace Mark Hurd who was allegedly involved in a sexual harassment incident.

What was the reason for the Autonomy acquisition? Reuters reports:

“In the nine months since taking the helm at HP, Apotheker had tried furiously to find a way to move the lumbering company away from its low-margin computer hardware business and into the lucrative corporate software and services arena. Apotheker was looking for a big, transformative acquisition, two people familiar with the situation said, and after overtures to several companies went nowhere, he set his sights on Autonomy.

After two months of negotiations on what was known at HP as “Project Tesla,” Apotheker sat down with Lynch at a hotel in Deauville on the Normandy coast – and shook hands on what would become an $11.1 billion deal.

The Autonomy takeover was indeed a bombshell – but not in the way that Apotheker had hoped. When it was announced in August 2011, HP’s stock plummeted amid withering criticism of the price tag. Within weeks, Apotheker was out of a job. Within months, Lynch and his new masters at HP were at war.”

Mr Mike Lynch, the founder of Autonomy made USD 800m out of the Autonomy deal. He was ousted from HP in March 2012, following disappointing sales for the Autonomy business, and has accused HP’s bureaucratic culture for the decline in Autonomy’s revenues. This was only the prelude to the Autonomy “saga”.

In November 2012, the Wall Street Journal reported that “…(HP said that) it had been duped into overpaying for one of its largest acquisitions, contributing to an $8.8 billion write-down and a huge quarterly loss. The technology giant said that an internal investigation had revealed “serious accounting improprieties” and “outright misrepresentations” in connection with U.K. software maker Autonomy, which HP acquired for $11.1 billion in October 2011…HP General Counsel John Schultz said the internal investigation into the Autonomy deal began in May when he told Ms. Whitman he had just spoken with a senior executive in the Autonomy software business, who had alleged that executives at Autonomy had been cooking the books before the acquisition. The identity of that senior executive couldn’t be determined.”

The Economist reported on 24th November 2012:

“HP said it was writing down the value of Autonomy by $8.8 billion, ascribing more than $5 billion of that to “serious accounting improprieties, disclosure failures and outright misrepresentations” before the deal. It named no one, but blamed “some” of Autonomy’s former managers. HP says it was tipped off by a remaining member of Autonomy’s team soon after Mike Lynch, the British firm’s founder and boss, was forced out in May. Accounting sleuths have concluded that Autonomy bloated its software sales by dressing up revenue from “negative-margin, low-end” hardware and by prematurely counting sales through resellers, a practice known as “channel-stuffing”. HP has passed its findings to the Securities and Exchange Commission in America and the Serious Fraud Office in Britain. It also says it will sue.”

Leo Apotheker, who was the architect of Autonomy’s aquisition, made a statement (Source: Bloomberg) on 20th November 2012:

“I’m both stunned and disappointed to learn of Autonomy’s alleged accounting improprieties. The developments are a shock to the many who believed in the company, myself included. But I also share the sentiment of HP’s current leadership and continue to believe in Autonomy’s market potential, as its core software expertise remains sound.

Looking back on the acquisition, which closed in Sept. 2011, the due diligence process was meticulous and thorough, and included two of the world’s largest and most respected auditing firms working on behalf of HP. Since Autonomy was a public company in the UK, much of the process relied on public financial reports — accounting statements approved, filed and backed by Autonomy’s leadership, board and auditors.

According to HP, the accounting issues it discovered pre-date its acquisition of Autonomy. As such, it’s apparent that Autonomy’s alleged accounting misrepresentations misled a number of people over time – not just HP’s leadership team, auditors and directors. In fact, the alleged improprieties apparently came to light only after an internal whistleblower raised the issue in the spring, well after my departure.

I will make myself available, however I can, to assist HP and the appropriate authorities get to the bottom of this.”

The Autonomy write down is not the only one plaguing HP.

In August 2012 the firm “said it would write down the value of its technology-services business by about $8 billion, underscoring both industry changes and singular pressures plaguing the company. The charge is one of the largest by a U.S. technology company, and an acknowledgment that HP’s $13.9 billion acquisition of Electronic Data Systems Corp. four years ago didn’t work out as intended…HP’s services business, now the company’s second biggest revenue producer behind computers, absorbed EDS in 2008 to smooth out the occasional volatility in tech hardware sales and help the company compete more effectively with International Business Machines Corp.’s tech-services division.” (The Wall Street Journal). The outsourcing of IT operations, the business model practiced by EDS, has been under a lot of pressure from Indian competitors who have a significant cost advantage. The emerging business model of cloud computing is another – even more significant – game changer.

If we just add the two deals, disregarding the time value of money, we will see that HP paid a total of USD 25 billion for EDS and Autonomy, and then wrote down USD 17 billion. This is a lot of money, even for HP.

The company has lost more than USD 90 billion in market value since 2009.

At a meeting with analysts a year after taking over, in October 2012, CEO Whitman stated that… the frequent changes at the top of the company had caused “multiple inconsistent strategic choices, and frankly some significant executional miscues.”

Whitman blamed the computer maker’s challenges on management upheaval dating back to Carly Fiorina, underinvestment in new products and exposure to a PC business eroded by the shift to smartphones and tablets.

“The two growth engines of our company are going to be the software business and the enterprise business,” Whitman said. “Our customers make long-term investments. This start-stop of the last three years — you can’t run the railroad that way.” (Business Week)

In an article published  in “live mint” there is mention of a leadership challenge: “Seventy three years after Bill Hewlett and Dave Packard worked in a car garage to start the first electronics company in what was then a valley of orange groves, Hewlett-Packard is at its lowest point ever. Over the last decade, its market cap has tumbled by nearly 60%. In a way, this is where IBM found itself in 1993 or Apple in 1997. Apple was revived by Jobs and IBM brought back from the brink by Lou Gerstner. But HP’s two Jobs’ are long dead and today’s tech CEOs hardly seem to have the ability to do what Gerstner did.”

But is leadership the only issue? Definitely not.

As Jonathan Ford mentions in his FT article, the HP problems require the CEO to think more about staff and the customers rather than the vagaries of the stock market. And this brings back the major question of HP’s strategy, or the lack of it.

Guanxi: tales of investments in China

Introduction

At 7 pm on Friday 6 May, a good looking stewardess of Olympic Air, offered me the last copy of the Financial Times on board the flight from Bucharest to Athens. I could not help but notice on the front page of the second section a story about Carlyle’s investments in two Chinese companies. The next day I searched the story and thanks to John Hempton I found the key word: Guanxi. Connections the Chinese way. The network of contacts prevails in making the “right deal”. After the necessary definition, courtesy of Wikipedia, I present the protagonists using already published material, and proceed with the story as it unfolded in the media. The conclusions, if any, are yours. For the record, I present mine.


Definition

At its most basic, guanxi describes a personal connection between two people in which one is able to prevail upon another to perform a favor or service, or be prevailed upon. The two people need not be of equal social status. Guanxi can also be used to describe a network of contacts, which an individual can call upon when something needs to be done, and through which he or she can exert influence on behalf of another. In addition, guanxi can describe a state of general understanding between two people: “he/she is aware of my wants/needs and will take them into account when deciding her/his course of future actions which concern or could concern me without any specific discussion or request”

It is hard to imagine an address closer to the heart of American power. The offices of the Carlyle Group are on Pennsylvania Avenue in Washington DC, midway between the White House and the Capitol building, and within a stone’s throw of the headquarters of the FBI and numerous government departments. The address reflects Carlyle’s position at the very centre of the Washington establishment, but amid the frenetic politicking that has occupied the higher reaches of that world in recent weeks, few have paid it much attention. Elsewhere, few have even heard of it.

This is exactly the way Carlyle likes it. For 14 years now, with almost no publicity, the company has been signing up an impressive list of former politicians – including the first President Bush and his secretary of state, James Baker; John Major; one-time World Bank treasurer Afsaneh Masheyekhi and several south-east Asian powerbrokers – and using their contacts and influence to promote the group. Among the companies Carlyle owns are those which make equipment, vehicles and munitions for the US military, and its celebrity employees have long served an ingenious dual purpose, helping encourage investments from the very wealthy while also smoothing the path for Carlyle’s defence firms.

But since the start of the “war on terrorism”, the firm – unofficially valued at $3.5bn – has taken on an added significance. Carlyle has become the thread which indirectly links American military policy in Afghanistan to the personal financial fortunes of its celebrity employees, not least the current president’s father. And, until earlier this month, Carlyle provided another curious link to the Afghan crisis: among the firm’s multi-million-dollar investors were members of the family of Osama bin Laden.

China Forestry

China Forestry, which is 10.96 percent owned by Carlyle, operates plantation forests and supplies timber to the construction, furniture, interior decoration, wood product and paper industries in China. (Source: REUTERS)

Carlyle first bought a stake of about 12.5% in China Forestry for around US$40 million in 2008, according to the company’s listing prospectus. In June 2009, Carlyle bought an additional stake of nearly 4% in China Forestry for about US$15 million, the prospectus said. Also in June 2009, another private-equity firm, Partners Group, bought a 7% stake in China Forestry for US$30 million.

Carlyle’s stake in China Forestry now is around 11%, while Partner’s stake is 5.51%, according to the Hong Kong stock exchange. Carlyle’s stake is valued at roughly US$127 million.

‘Backdoor Registrations’

In a reverse merger, a closely held corporation buys a publicly traded shell company and retains its U.S. listing. China Agritech came into being after China Tailong Holdings Co., a fertilizer maker founded in 1993 by Yu Chang, merged in 2005 with Basic Empire Corp., a shell company that began life in Nevada in 1925 as Argyle Mining Co. and no longer had any business operations, according to a China Agritech filing.

Companies that get listings on U.S. markets by reverse mergers aren’t subject to the same scrutiny as those that make initial public offerings, Luis Aguilar, a commissioner at the U.S. Securities and Exchange Commission, said in an April 4 speech. More than 600 such “backdoor registrations” have been done since 2007, including about 150 by firms based in China, and a “growing number” of those companies “are proving to have significant accounting deficiencies,” he said.

Financial blog ZeroHedge just posted a research report by LM Research claiming fraud in the company of China Agritech Inc (CAGC).

According to the report, China Agritech, a co. that manufactures and sells organic liquid compound fertilizers and related agricultural products in the People’s Republic of China, “is not a currently functioning business that is manufacturing products”. Instead it is, in LM R’s view, “a simple vehicle for transferring shareholder wealth from outside investors into the pockets of the founders and inside management.”

LM Research has set a $2 price target on CAGC shares based on the co.’s cash books – $45.8M – divided by – 20.77M – the number of outstanding shares. LM R also notes in its analysis that since the company has no valuable technology, intellectual property, or capital assets, “there is no value to it other than dissolution value“.

The Story

In earnings released Friday (29 April 2011), China Forestry reported a loss for 2010 of 2.71 billion yuan after drastically lowering the value of its plantation holdings, the company’s chief asset. The company said it couldn’t ensure that its financial statements were accurate, though, because, among other things, “most of the former key accounting personnel have left without notice.”

Before China Forestry’s shares were suspended, both Carlyle and Partners Group had made money on their investments, which are small in comparison with their outlays in more developed markets. They could still end up winners if the company recovers from its troubles.

The extent of China Forestry’s problems, nonetheless, underscores the risk that potential fraud and poor corporate governance pose for private-equity and other investors in emerging markets, where regulatory and other standards often don’t match those of developed markets.

“There are an increasing number of transactions in China, where it can be difficult to assess businesses,” said Scott Jalowayski, a lawyer at Ropes & Gray LLP in Hong Kong. “Even careful and disciplined investors can run into problems with deals,” he said, adding that private-equity firms can sometimes turn around poor investments and make them successful.

In addition, private-equity companies are often under pressure to deploy funds even when there is a dearth of good deals, industry observers say.

Michael Cheung, vice president at China Forestry, said in a statement that the company is making a number of changes, including the adoption of enhanced, centralized financial reporting and the hiring of new management to oversee the process.

Chairman Li Kwok Cheong “is determined to step up internal control to improve the management of the company to take advantage of the growing opportunities in the market,” Mr. Cheung wrote.

An investigation by an independent board committee found that China Forestry’s former management team provided its auditor with false bank statements, inconsistent insurance-policy documentation and falsified logging permits for about 100,000 cubic meters of wood. Most of the group’s sales from 2010 were conducted in cash, the committee said, and Mr. Li, the former CEO, kept more than one set of books, so that “actual cash movement was concealed from the board.”

“The big unanswered question is: was the cash there and stolen, or was it never there in the first place,” said hedge-fund manager and financial commentator John Hempton. “One implies fraud from inception and no real business, and the other implies a real business that was run by people who stole from it,” said Mr. Hempton.

He said he holds positions in more than a dozen Chinese companies he believes are involved in fraud but wouldn’t disclose individual positions.

Another question involves regulation—whether China Forestry, whose initial public offering was underwritten by Standard Chartered PLC’s Cazenove Asia Ltd. and UBS AG, should have been allowed to list. Hong Kong’s regulators have complained about poor work done by certain banks and other financial sponsors in screening companies that come to market.

David Webb, a shareholder activist, said that some of the blame must rest with the regulators themselves.

“It remains unclear whether the alleged fraud was going on at the IPO stage, but so long as prospectus liability law in Hong Kong remains as weak as it is, there isn’t much incentive to do the sponsorship and auditing job any better,” he said.

The first thing to note about the company is that it’s a Chinese natural-resources company at a time when natural resources are a hot investment story in China. And surely even the worst-run timber company ought in theory to be positioned to capitalize at least a little bit on China’s construction boom.

One might then notice the matter of land valuation. Skeptics of China Forestry’s IPO have noted its statement that its profits in the three years leading up to its offering arose almost exclusively from the appreciation of its forest-land holdings rather than from operations. That would raise questions for an investor looking to put money in a forestry company. But to others it would represent a useful form of acumen.

Consider China Forestry’s success so far in obtaining land at “favorably low” prices. While the company warned that this might not continue indefinitely—quoth the prospectus, “sellers may become increasingly sophisticated about the valuation and prices of their forests and may demand higher premiums for high quality forests”—that loss of advantage isn’t necessarily inevitable or imminent.

One of the company’s not-so-secret weapons is its chairman, Li Kwok Cheong, who boasts a spot on the council of the China Council for the Promotion of Environment and Forestry, a nonprofit group managed by the State Forestry Administration. China Forestry Holdings trumpeted that connection in its prospectus: “We are better able to obtain, easily and quickly, the first-hand information on the latest development of the forestry industry in China. We identified suitable forests for acquisition based on the information we obtained from the forestry industry.”

In sum, investors were presented with a company possessing demonstrated skill at amassing a potentially valuable asset owing to its apparent good connections to the government and other industry insiders. Reading between the lines, such connections could also help in securing the logging permits the company would need on an ongoing basis to conduct what is supposed to its core business. And to top it all off, this is in a sector Beijing has singled out for development, meaning lower corporate taxes.

Maybe China Forestry’s novel business model would work, and maybe not. Maybe it would overcome its relative inexperience, and maybe not. Maybe the company would find a way to achieve operating profits, and maybe not. That kind of business question seems less relevant when you’re interested more in investing in companies based on their ability to work the Chinese system. Hong Kong investors have made that kind of bet before, as in the mid-1990s when the hot gamble was that Beijing would inject state assets into large companies.

Fraud is fraud, and if investigators discover shenanigans at China Forestry Holdings, Hong Kong’s regulators and courts will offer some recourse to deceived investors. But temper the outrage that China Forestry was allowed to list at all. While some or even many might have considered it a “bad” company, it was not necessarily a bad investment as Chinese investments go. The question is not whether something has gone wrong with Hong Kong’s listing standards. The question is what is going wrong with China such that investors are betting on something other than the quality of an entrepreneur’s ideas.

“To this end I present to you China Forestry.  China Forestry was a billion USD Hong Kong listed Chinese company with many Private Equity funds having stakes.  The leading stakeholder is Carlyle (or more precisely funds belonging to Carlyle’s clients).  The stock has been suspended after admitting “accounting irregularities”.  But it is worse than that.

China Forestry had a business model which consisted of fast-growth forestry to extract greenhouse gas credits – a business model that barely made sense to some analyst guys that looked at it.  However it was a business model that made sense if the company had enough Guanxi – enough connections to extract a really bad (ie nonsensical) deal from the Chinese government.  And the holders of China Forestry to some degree believed just that.  They believed in the Chinese Guanxi.  And implicitly they believed the deals were being bought to them by the Guanxi of their staff.

Now China Forestry remains suspended.  No reasonable questions are being answered – so I am going to reveal to you the Analyst gossip: the bulk of the forests do not exist.  Sure they had some “front” – plantations they would take potential investors to.  But the vast bulk of the business was a fiction and “accounting irregularities” is code for “fiction”.

Oh – and Carlyle has dusted 105 million dollars.

If this is fraud then Carlyle has a little egg on their face.  After all – what is the point of having all those investment professionals if they get dusted by the simplest of frauds.  The whole point of private equity is that by pooling capital you can get insider positions and you can run the company for cash – for the benefit of your investors.  But if your “insider position” doesn’t even allow you to spot the business does not exist then your insider status is worthless.  You might as well close up and go home.  You have no right to be in business.

This blog has been detailing another stuff-up of Carlyle.  I am short China Agritech – a company listed on the NASDAQ with operations in China.  At least the operations are meant to be in China but after considerable looking (only part of which has been detailed on this blog) we cannot find any convincing evidence that the bulk of the operations exist.  In this case Carlyle is the biggest investor and has exercised its right to appoint a board member.  Again it looks like they have been dusted.”

My Conclusion

Was Carlyle unlucky? I do not think so.

They look like they placed too much trust on advice they received and forgot the fundamentals of investing in value creation, rather than something that looks nice and people say it is.

It sounds very very basic for a mistake to be made by investors at this level, but I prefer this to another explanation.
